INTERCULTURAL COOPERATION AND DIALOGUE ASSOCIATION

REGULATIONS

TITLE

Article 1 – Name andHeadquarters of theAssociation
The name of theAssociation is the“InterculturalCooperationandDialogueAssociation.”
Theheadquarters of theAssociation is located in Ankara. TheAssociation has nobranches.

Article 2 – Purpose of theAssociation, FieldsandMethods of Activity toAchieveThisPurpose, andArea of Operation
TheAssociation has beenestablishedwiththeaim of contributingtothedevelopment of alltypes of relationsbetweenTurkeyandothercountries—primarilythememberstates of theEuropeanCommunity—and of developingsupportiveprojectstofacilitatetheimplementation of bilateralculturalagreementsto be concludedbytheGovernment of theRepublic of Türkiye withthesecountries.

Withinthisframework, theAssociationshall:

  1. Strengthenexistingbonds of friendship, establishnewones, andpromotecloserrelationsandnewacquaintancesbetweenTurkeyandvariouscountriesaroundtheworld, particularlyEuropeancountries;

  2. Supportthedevelopment of cultural, social, andcommercialconnectionsamongindividuals, institutions, andorganizations in thefields of education, culture, arts, science, technology, tourism, cinema, women’sissues, health, environment, law, andyouth, andforthispurpose organize eventssuch as panels, conferences, concerts, festivals, andsimilaractivities;

  3. Organize variousactivities in Turkeyand in differentEuropeancountries on issuesincludingeducation, culture, arts, science, technology, tourism, cinema, women’sissues, health, environment, law, humanrights, andyouth, in ordertocontributetothewiderdissemination of culturalactivities;

  4. Participate in fairs, conferences, festivals, andsimilareventsthatpromoteeducationalandculturalelements, andinviteindividualsfromEuropeancountriestoTurkey (tovariousprovinces) in ordertoenablethemtocarryouttheiractivities;

  5. Cooperatewithassociationsestablishedforthesamepurposes in Europeancountriesand in othercountriesworldwide.

  6. ·Developandimplementregional, national, andinternationalprojectsaimed at promotingdevelopmentandadvancement in thefields of education, culture, science, arts, technology, health, tourism, law, humanrights, andwomen’sissues in Türkiye;

  7. ·Supportandproducejointshortfilms, documentaries, animatedfilms, andfeature-length film projectsto be carriedoutcollaborativelybetween Türkiye andEuropeancountries, and organize workshopsandtrainingsessions in thisregard;

  8. ·  Organizejoint art eventsandbiennialsbetween Türkiye andEuropeancountries;

  9. ·  OrganizeCulture, Tourism, andCinemaWeeks/Festivalsundervarioustitles in Türkiye—primarilytointroduceEuropeancountries, as well as othercountriesandtheircultures—and organize TurkishCulture, Tourism, andCinemaWeeks/Festivals in Europe andothercountries;

  10. ·  Organizepanels, conferences, exhibitions, andsimilarevents in Türkiye, Europe, andothercountries in ordertopromoteinterculturaldialogue, cooperation, andpeace, andpublishallkinds of promotionalmaterials, includingjournals, bulletins, books, documentaryfilms, andotheraudio-visualandprintedpublications;

  11. ·  Organizestudytripsandvisits in ordertostrengthendialogue, cooperation, andcommunicationbetween Türkiye and Europe;

  12. ·Carryoutjointprojects in Türkiye, Europe, andworldwidebybenefitingprimarilyfromEuropeanCommissionandEuropeanUnionfunds, as well as fromdomesticandforeignfundsprovidedbyotherinstitutionsandorganizations, in thefields of education, culture, arts, science, technology, tourism, cinema, women’sissues, law, humanrights, health, environment, andyouth;

  13. ·Forthesepurposes, theAssociationmayestablishbranchesorrepresentativeofficesabroad, orjoinalreadyestablishedassociationsorumbrellaorganizations;

  14. ·TheAssociationshallalsopublicizeall of itsactivitiesunderthe name “Türkiye–Europe Cultural Center.”

  15. ·Obtainallkinds of information, documents, records, andpublicationsnecessaryfortherealization of itsobjectives; establish a documentationcenter; and, in linewithitspurposes, publishnewspapers, journals, books, films, andsimilarmaterials, as well as issueinformationalandactivitybulletinsfordistributiontoitsmembers;

  16. ·Ensure a soundandefficientworkingenvironmentfortherealization of itsobjectivesandprocureallkinds of technicalequipment, fixtures, andstationerysupplies;

  17. ·Conductfundraisingactivitiessubjecttoobtainingthenecessarypermits, andacceptdonationsfromwithin Türkiye andfromabroad;

  18. ·Establishandoperateeconomic, commercial, andindustrialenterprises in ordertogeneratetheincomerequiredtoachievetheobjectives set forth in theBylaws;

  19. ·  Opensocialclubsforthebenefit of itsmembersandfortheuse of theirleisure time, andestablishandfurnishsocialandculturalfacilities;

  20. ·  Organizeorfacilitateparticipation in social, cultural, andrecreationalactivitiessuch as banquets, concerts, balls, theatreperformances, exhibitions, sportsevents, trips, andentertainmentactivities in ordertodevelopandmaintaininterpersonalrelationsamongitsmembers;

  21. ·Purchase, sell, lease, andsubleasemovableandimmovablepropertyrequiredfortheAssociation’sactivities, andestablishrealrightsoverimmovableproperty;

  22. ·Establishfoundations, federations, orjoinexistingfederationswhendeemednecessaryfortherealization of itsobjectives, and, uponobtainingtherequiredpermits, establishfacilitiesthatassociationsareauthorizedtoestablishbylaw;

  23. ·Engage in internationalactivities, become a member of associationsororganizationsabroad, andcarryoutproject-basedjointactivitiesorcooperationwithsuchorganizations;

  24. ·Whendeemednecessaryfortherealization of itsobjectives, andwithoutprejudicetotheprovisions of Law No. 5072 on theRelations of AssociationsandFoundationswithPublicInstitutionsandOrganizations, carryoutjointprojectswithpublicinstitutionsandorganizationswithintheirrespectivefields of competence;

  25. ·Establish a mutualaidfundtomeettheessentialneeds of itsmembers—such as foodandclothing—andtheirshort-termcreditneeds, as well as othergoodsandservices;

  26. ·  Openrepresentativeoffices in locationsdeemednecessary in ordertocarryouttheAssociation’sactivities.

  27. ·Establishplatformswithotherassociations, foundations, tradeunions, andsimilarcivilsocietyorganizations in fieldsrelatedtotheAssociation’sobjectivesand not prohibitedbylaw, in ordertoachieve a commonpurpose.

       

Field of Activity of theAssociation

TheAssociationoperates in thefields of .

Right toMembershipandMembershipProcedures

Article 3 – Anynaturalor legal personwho has legal capacity, acceptstheobjectivesandprinciples of theAssociation, undertakestoact in linewiththeseobjectives, andmeetstheconditionsstipulatedbytherelevantlegislationshallhavetherighttobecome a member of theAssociation.
However, in orderforforeignnaturalpersonstobecomemembers, theymustalsohavetheright of residence in Türkiye. Thisrequirementshall not applytohonorarymembership.

Applications formembershipshall be submitted in writingtothePresidency of theAssociation. The Board of Directors shalldecide on theacceptanceorrejection of theapplicationwithin a maximum of thirty (30) daysandshallnotifytheapplicant of theresult in writing. Memberswhoseapplicationsareacceptedshall be recorded in themembershipregisterkeptforthispurpose.

Theprincipalmembers of theAssociationareitsfoundersandthosepersonswhoseapplicationsformembershipareacceptedbythe Board of Directors.

Personswhohaveprovidedsignificantmaterialor moral supporttotheAssociationmay be admitted as honorarymembersby a decision of the Board of Directors.

ResignationfromMembership

Article 4 – Everymember has therighttoresignfromtheAssociationbysubmitting a writtennotice.
Resignationshall be deemedeffective as of thedate on whichtheresignationpetition is receivedbythe Board of Directors. Resignationfrommembershipdoes not eliminatethemember’saccumulatedfinancialobligationstotheAssociation.

ExpulsionfromMembership

Article 5 – Circumstancesrequiringexpulsionfrommembershipinclude:

  1. Acting in violation of theAssociation’sBylaws;

  2. Persistentlyavoidingassignedduties;

  3. Failureto pay membershipdueswithinsix (6) monthsdespitewrittenwarnings;

  4. FailuretocomplywithdecisionstakenbytheAssociation’sgoverningbodies;

  5. Loss of thequalificationsrequiredformembership.

Intheeventthatany of theabovecircumstances is determined, themembershall be expelledby a decision of the Board of Directors.

Memberswhoresignorareexpelledshall be removedfromthemembershipregisterandshallhavenorighttoclaimanyshare in theAssociation’sassets.

Organs of theAssociation

Article 6 – Theorgans of theAssociationare as follows:

  1. General Assembly;

  2. Board of Directors;

  3. Board of Auditors.

Formation, Meeting Time, Convocation, and Meeting Procedures of the General Assembly

Article 7 – The General Assembly is thehighestdecision-making body of theAssociationandconsists of membersregisteredwiththeAssociation.

The General Assembly shallconvene:

  1. Ordinarily at thetimesspecified in theseBylaws;

  2. Extraordinarily, whendeemednecessarybythe Board of Directors orthe Board of Auditors, oruponthewrittenrequest of one-fifth (1/5) of theAssociation’smembers, withinthirty (30) days.

Theordinary General Assembly shallconveneonceeverythree (3) years, in May, on a date, at a place, and at a time to be determinedbythe Board of Directors.

The General Assembly shall be convenedbythe Board of Directors.

Ifthe Board of Directors failstoconvenethe General Assembly, upontheapplication of one of themembers, theCivil Court of Peaceshallappointthree (3) memberstoconvenethe General Assembly.

ProcedureforConvocation*

The Board of Directors shallprepare a list of membersentitledtoattendthe General Assembly in accordancewiththeAssociation’sBylaws. Membersentitledtoattendthe General Assembly shall be invitedtothemeeting at leastfifteen (15) days in advancebyannouncingthedate, time, place, andagenda in a newspaperand/orbywrittennoticeorelectronic mail. Thenoticeshallalsostatethedate, time, andplace of thesecondmeeting in theeventthatthefirstmeetingcannot be heldduetolack of quorum.
Theintervalbetweenthefirstandsecondmeetingsshall not be lessthan seven (7) daysand not morethansixty (60) days.

Ifthemeeting is postponedforreasonsotherthanthelack of quorum, thissituationshall be announcedtothemembers in accordancewiththesameconvocationprocedureappliedforthefirstmeeting, indicatingthereasonsforpostponement. Thesecondmeetingmust be heldwithin a maximum of six (6) monthsfromthedate of postponement. Membersshall be re-invitedtothesecondmeeting in accordancewiththeprinciples set out in thefirstparagraph.

A General Assembly meetingmay not be postponedmorethanonce.

Meeting Procedures*

The General Assembly shallconvenewiththeabsolutemajority of themembersentitledtoattend; in cases of amendment of theBylawsordissolution of theAssociation, a two-thirds (2/3) majorityshall be required. Ifthemeeting is postponedduetolack of quorum, noquorumshall be requiredforthesecondmeeting. However, thenumber of membersattendingthismeetingmay not be lessthantwicethefullnumber of members of the Board of Directors andthe Board of Auditors.

Thelist of membersentitledtoattendthe General Assembly shall be keptavailable at themeetingvenue.

Theidentitydocumentsissuedbyofficialauthorities of themembersenteringthemeetingvenueshall be checkedbymembers of the Board of Directors orpersonsassignedbythe Board of Directors. Membersshallenterthemeetingvenuebysigningnexttotheirnames on thelistpreparedbythe Board of Directors.

Ifthequorum is met, thisshall be recorded in minutesandthemeetingshall be openedbytheChairperson of the Board of Directors orby a member of the Board of Directors designatedbyhim/her. Ifthequorum is not met, a minuteshalllikewise be preparedbythe Board of Directors.

Followingtheopening, a chairperson, a sufficientnumber of vicechairpersons, and a secretaryshall be electedtopresideoverthemeeting, therebyformingthePresidingCommittee.

InelectionsfortheAssociation’sgoverningbodies, memberscastingvotesshall be requiredtopresenttheiridentificationtothePresidingCommitteeandsignnexttotheirnames on theattendancelist.

ThePresidingChairpersonshall be responsiblefortheadministrationandsecurity of themeeting.

Onlytheitemsincluded in theagendashall be discussed at the General Assembly. However, issuesrequested in writingby at leastone-tenth (1/10) of thememberspresent at themeetingmust be addedtotheagenda.

Eachmembershallhaveone (1) vote at the General Assembly andshallcast his/her votepersonally. Honorarymembersmayattend General Assembly meetings but shall not havetherighttovote. Intheeventthat a legal entity is a member, thechairperson of its board of directorsor a personauthorizedtorepresent it shallexercisethevotingright.

Themattersdiscussedandthedecisionstaken at themeetingshall be recorded in minutesandjointlysignedbythePresidingChairpersonandthesecretaries. At theend of themeeting, theminutesandotherdocumentsshall be deliveredtotheChairperson of the Board of Directors, whoshall be responsiblefortheirsafekeepingandfordeliveringthemtothenewlyelected Board of Directors within seven (7) days.

VotingandDecision-MakingProcedures of the General Assembly

Article 8 – Unlessotherwisedecidedbythe General Assembly, elections of themembers of the Board of Directors andthe Board of Auditorsshall be conductedbysecretballot, whiledecisions on othermattersshall be takenbyopenvote.
Secretballotsshallconsist of votescollectedbyplacingpapersorballotslips, sealedbytheChairperson of themeeting, into an emptycontainerafterthemembershavecasttheirvotes as required. Thevotesshall be countedopenlyafterthevoting has concluded, andtheresultsshall be determinedaccordingly.

Inopenvoting, themethodto be specifiedbytheChairperson of the General Assembly shall be applied.

Decisions of the General Assembly shall be takenbytheabsolutemajority of themembersattendingthemeeting. However, decisionsregardingamendmentstotheBylawsandthedissolution of theAssociationmayonly be takenby a two-thirds (2/3) majority of themembersattendingthemeeting.

DecisionsTakenWithout a Meeting orWithoutConvocation*

Decisionstakenwiththewrittenparticipation of allmemberswithoutconvening a meeting, as well as decisionstakenbytheunanimousgathering of allmemberswithoutcomplyingwiththeconvocationprocedure set forth in theseBylaws, shall be valid. However, decisionstaken in thismannershall not replace an ordinary General Assembly meeting.

Dutiesand Powers of the General Assembly

Article 9 – Thefollowingmattersshall be discussedandresolvedbythe General Assembly:

  1. Election of theAssociation’sgoverningbodies;

  2. Amendment of theAssociation’sBylaws;

  3. Review of thereports of the Board of Directors andthe Board of Auditors, anddischarge of the Board of Directors;

  4. Discussionandadoption of thebudgetpreparedbythe Board of Directors, either as submittedorwithamendments;

  5. Authorization of the Board of Directors topurchaseimmovablepropertyrequiredfortheAssociationortosellexistingimmovableproperty;

  6. Reviewandapproval, either as submittedorwithamendments, of regulationsto be preparedbythe Board of Directors regardingtheAssociation’sactivities;

  7. Determination of theremunerationto be paidtothenon-public-officialchairpersonsandmembers of the Board of Directors andthe Board of Auditors, as well as alltypes of allowances, travelexpenses, andcompensations, andthedailyallowancesandtravelexpensesto be paidtomembersassignedtoperformservicesfortheAssociation;

  8. Decision on theAssociation’saccessiontoorwithdrawalfrom a federation;

  9. Decision on theAssociation’sengagement in internationalactivitiesanditsaccessiontoorwithdrawalfromassociationsandorganizationsabroad;

  10. Decision on theestablishment of a foundationbytheAssociation;

  11. Decision on thedissolution of theAssociation;

  12. Reviewandresolution of otherproposalssubmittedbythe Board of Directors;

  13. Fulfillment of otherdutiesassignedtothe General Assembly byapplicablelegislation.

The General Assembly shallsupervisetheotherorgans of theAssociationandmaydismissthem at any time forjustcause.

The General Assembly shallhavethe final authority on decisionsregardingadmissiontomembershipandexpulsionfrommembership. As thehighestauthority of theAssociation, it shallperformdutiesandexercisepowers not assignedtoanyother organ of theAssociation.

Formation, Duties, and Powers of the Board of Directors

Article 10 – The Board of Directors shall be electedbythe General Assembly andshallconsist of five (5) principalmembersandfive (5) substitutemembers. At itsfirstmeetingfollowingtheelection, the Board of Directors shall, byresolution, assigndutiesamongitsmembersanddesignate a Chairperson, ViceChairperson, Secretary, Treasurer, andMember.

The Board of Directors may be convened at any time, providedthatallmembersaredulynotified.

The Board of Directors shallconvenewiththeattendance of morethanhalf of itsfullmembership. Decisionsshall be takenbytheabsolutemajority of themembersattendingthemeeting.

Intheeventthat a vacancyoccursamongtheprincipalmembers of the Board of Directors duetoresignationoranyotherreason, substitutemembersshall be invitedtoassumeoffice in accordancewiththeorder of votesreceived at the General Assembly.

Dutiesand Powers of the Board of Directors

The Board of Directors shallcarryoutthefollowingduties:

  1. RepresenttheAssociationorauthorizeoneormore of itsmembersto do so on itsbehalf;

  2. Conducttransactionsrelatedtoincomeandexpenditureaccountsandpreparethebudgetfortheforthcomingtermandsubmit it tothe General Assembly.

  3. PrepareregulationsrelatedtotheAssociation’sactivitiesandsubmitthemtothe General Assembly forapproval;

  4. Uponauthorizationbythe General Assembly, purchaseimmovableproperty; sellmovableandimmovablepropertybelongingtotheAssociation; havebuildingsorfacilitiesconstructed;concludeleaseagreements; andestablishpledges, mortgages, orotherrealrights in favor of theAssociation;

  5. Ensuretheestablishment of representativeoffices in locationsdeemednecessary;

  6. Implementthedecisionsadoptedbythe General Assembly;

  7.  At theend of eachfiscalyear, preparetheAssociation’soperatingaccountstatementorbalancesheetandincomestatement, togetherwith a reportexplainingtheactivities of the Board of Directors, andsubmitthesetothe General Assembly when it convenes;

  8. Ensuretheimplementation of thebudget;

  9. Decide on theadmission of memberstotheAssociationand on expulsionfrommembership;

  10. Takeandimplementallkinds of decisionsnecessarytoachievetheobjectives of theAssociation;

  11. Performotherdutiesandexerciseotherpowersconferredupon it bytherelevantlegislation.

Formation, Duties, and Powers of the Board of Auditors

Article 11 – The Board of Auditorsshall be electedbythe General Assembly andshallconsist of three (3) principalmembersandthree (3) substitutemembers.

Intheeventthat a vacancyoccursamongtheprincipalmembers of the Board of Auditorsduetoresignationoranyotherreason, substitutemembersshall be invitedtoassumeoffice in accordancewiththeorder of votesreceived at the General Assembly.

Dutiesand Powers of the Board of Auditors

The Board of AuditorsshallsupervisewhethertheAssociationcarriesoutitsactivities in linewiththeobjectivesspecified in itsBylawsandthefields of activity set forthfortherealization of suchobjectives, andwhetherthebooks, accounts, andrecordsarekept in compliancewiththerelevantlegislationandtheAssociation’sBylaws.
Suchauditsshall be conducted in accordancewiththeprinciplesandproceduresstipulated in theBylaws, at intervals not exceedingone (1) year, andtheauditresultsshall be submitted in the form of a reporttothe Board of Directors and, whenconvened, tothe General Assembly.

Whendeemednecessary, the Board of Auditorsmayconvenethe General Assembly.

Sources of Income of theAssociation

Article 12 – Thesources of income of theAssociationare as follows:

  1. MembershipDues: An entrancefee of 10 YTL and a monthlymembershipfee of 1 YTL shall be collectedfrommembers. The General Assembly is authorizedtoincreaseordecreasetheseamounts;

  2. VoluntarydonationsandcontributionsmadetotheAssociationbynaturaland legal persons;

  3. IncomederivedfromactivitiesorganizedbytheAssociationsuch as teagatheringsandbanquets, tripsandentertainmentevents, performances, concerts, sportscompetitions, andconferences;

  4. IncomederivedfromtheAssociation’sassets;

  5. Donationsandaidcollected in accordancewiththeprovisions of thelegislation on fundraising;

  6. ProfitsobtainedfromcommercialactivitiesundertakenbytheAssociation in ordertogenerateincomenecessaryfortherealization of itsobjectives;

  7. Otherincome.

PrinciplesandProceduresforKeepingBooksandRecordsandBooksto Be Kept*

Article 13 – Principles of bookkeeping:

TheAssociationshallkeepitsbooks on thebasis of theoperatingaccountmethod. However, iftheannualgrossincomeexceedsthe limit specified in therelevantlegislation, bookkeepingshall be conducted on thebalance-sheetbasisstartingfromthefollowingfiscalperiod.

If, afterswitchingtothebalance-sheetbasis, theannualgrossincomefallsbelowthespecified limit fortwoconsecutivefiscalperiods, theAssociationmayreverttotheoperatingaccountbasisstartingfromthefollowingyear.

Regardless of theabove-mentioned limit, the Board of Directors maydecidetokeepbooks on thebalance-sheetbasis.

IntheeventthattheAssociationestablishes a commercialenterprise, separatebooksshallalso be keptforsuchenterprise in accordancewiththeprovisions of theTaxProcedureLaw.

RecordingProcedures

Thebooksandrecords of theAssociationshall be kept in compliancewiththeproceduresandprinciples set forth in theRegulation on Associations.

Booksto Be Kept

Thefollowingbooksshall be keptbytheAssociation:

a) Booksto be keptundertheoperatingaccountbasisandapplicableprinciples:

  1. DecisionBook:Decisions of the Board of Directors shall be recorded in thisbook in chronologicalorderbydateandnumber, andthedecisionsshall be signedbythemembersattendingthemeeting.

  2. MembershipRegister:Theidentityinformation of membersadmittedtotheAssociation, as well as theirdates of admissionandresignation, shall be recorded in thisbook. Theamounts of entrancefeesandannualduespaidbymembersmayalso be recordedtherein.

  3. DocumentRegister:Incomingandoutgoingdocumentsshall be recorded in thisbookwiththeirdatesandserialnumbers. Originals of incomingdocumentsandcopies of outgoingdocumentsshall be filed. Documents sent orreceivedviaelectronic mail shall be preservedbyprintingandfilingthem.

  4. FixedAssetsRegister:Theacquisitiondateandmethod of acquisition of theAssociation’sfixedassets, theplaceswheretheyareusedorassigned, andtheremovalfromrecords of thosewhoseuseful life has expiredshall be recorded in thisbook.

  5. Operating AccountBook:Allincomereceivedandexpendituresmade on behalf of theAssociationshall be recorded in thisbook in a clearandorderlymanner.

  6. ReceiptRegister:Theserialandsequencenumbers of receiptdocuments, as well as thenames, surnames, signatures, andthedates on whichthereceiptsarereceivedandreturnedbythepersonsconcerned, shall be recorded in thisbook.

b) Booksto be keptunderthebalance-sheetbasisandapplicableprinciples:

  1. Thebookslisted in subparagraphs (1), (2), (3), and (6) of paragraph (a) shallalso be keptifthebalance-sheetbasis is adopted.

  2. JournalBook, General Ledger, and Inventory Book:Theproceduresforkeepingandrecordingthesebooksshall be carriedout in accordancewiththeprovisions of theTaxProcedureLawandthe Accounting SystemImplementationCommuniquésissuedpursuanttotheauthoritygrantedtotheMinistry of Finance undersaidLaw.

Certification of Books

Themandatorybooks of theAssociationshall be certifiedbytheProvincialDirectorate of Associationsorby a notarypublicbeforebeing put intouse. Thesebooksshallcontinueto be useduntiltheirpagesareexhausted, andnointerimcertificationshall be required. However, bookskept on thebalance-sheetbasis, as well as books in the form of formsorcontinuous-form sheets, must be re-certifiedannuallyduringthelastmonth of theyearprecedingtheyear in whichtheywill be used.

Preparation of Income Statement andBalanceSheet

Ifrecordsarekept on theoperatingaccountbasis, an “Operating Account Statement” (as specified in Annex-16 of theRegulation on Associations) shall be prepared at theend of eachyear (31 December). Ifrecordsarekept on thebalance-sheetbasis, a balancesheetandincomestatementshall be prepared at theend of eachyear (31 December) in accordancewiththe Accounting SystemImplementationCommuniquésissuedbytheMinistry of Finance.

IncomeandExpenditureTransactions of theAssociation*

Article 14 – Incomeandexpendituredocuments:

TheAssociation’sincomeshall be collectedbymeans of a “Receipt” (as exemplified in Annex-17 of theRegulation on Associations). IncaseswheretheAssociation’sincome is collectedthroughbanks, documentssuch as bank receiptsoraccountstatementsissuedbythe bank shallsubstitutefor a receipt.

TheAssociation’sexpendituresshall be made on thebasis of expendituredocumentssuch as invoices, retailsalesslips, and self-employmentreceipts. However, forpaymentsfallingwithinthescope of Article 94 of theIncomeTaxLaw, an expensevouchershall be issued in accordancewiththeprovisions of theTaxProcedureLaw; andforpayments not fallingwithinthisscope, an “ExpenseReceipt” (as exemplified in Annex-13 of theRegulation on Associations) shall be issued.

Gratuitousdeliveries of goodsandservicesmadebytheAssociationtonaturalor legal personsorinstitutionsshall be carriedoutbymeans of an “In-KindAid Delivery Certificate” (as exemplified in Annex-14 of theRegulation on Associations).
Gratuitousdeliveries of goodsandservicesmadetotheAssociationbynaturalor legal personsorinstitutionsshall be acceptedbymeans of an “In-KindDonationReceipt” (as exemplified in Annex-15 of theRegulation on Associations).

 

Receipts

The“Receipts”to be usedforthecollection of theAssociation’sincome (in the form and size shown in Annex-17 of theRegulation on Associations) shall be printedby a printinghouseupon a decision of the Board of Directors.

Theprintingandcontrol of receipts, theirreceiptfromtheprintinghouse, theirrecording in therelevantregister, thehandoverbetweenformerandnewtreasurers, andallmattersrelatingtotheuse of thesereceiptsbythepersonorpersonsauthorizedtocollectincome on behalf of theAssociationandthedelivery of thecollectedincomeshall be carriedout in accordancewiththerelevantprovisions of theRegulation on Associations.

AuthorizationCertificate

Thepersonorpersonsauthorizedtocollectincome on behalf of theAssociationshall be determinedby a decision of the Board of Directors, specifyingtheperiod of authorization.

An “AuthorizationCertificate” (as exemplified in Annex-19 of theRegulation on Associations), containingthefullidentitydetails, signature, andphotograph of theperson(s) authorizedtocollectincome, shall be issuedbytheAssociation in three (3) copiesandapprovedbytheChairperson of the Board of Directors. Onecopy of eachauthorizationcertificateshall be submittedtotherelevantassociationsunit. Anychangesrelatedtoauthorizationcertificatesshall be notifiedtotheassociationsunitbytheChairperson of the Board of Directors withinfifteen (15) days.

Personsauthorizedtocollectincome on behalf of theAssociationmaycommencecollectiononlyafter a copy of theirauthorizationcertificate has beensubmittedtotheassociationsunit.

Theuse, renewal, return, andothermattersrelatingtoauthorizationcertificatesshall be carriedout in accordancewiththerelevantprovisions of theRegulation on Associations.

RetentionPeriod of IncomeandExpenditureDocuments

Exceptforthemandatorybooks, receipts, expendituredocuments, andotherdocumentsusedbytheAssociationshall be retainedfor a period of five (5) years in accordancewiththenumericalandchronologicalorder in whichtheyarerecorded in therelevantregisters, withoutprejudicetotheretentionperiodsstipulated in speciallaws.

Submission of Declarations*

Article 15 – The“AssociationDeclaration” (as set forth in Annex-21 of theRegulation on Associations), regardingtheAssociation’sactivities of thepreviousyearandtheyear-endresults of itsincomeandexpendituretransactions, shall be completedbythe Board of Directors andsubmittedbytheChairperson of theAssociationtothelocaladministrativeauthoritywithinthefirstfour (4) months of eachcalendaryear.

 

 

Notification Obligation*

Article 16 – Notificationsto be madetothelocaladministrativeauthority:

Notification of General Assembly Results

Withinthirty (30) daysfollowing an ordinaryorextraordinary General Assembly meeting, the“Notification of General Assembly Results” (as set forth in Annex-3 of theRegulation on Associations), includingtheprincipalandsubstitutememberselectedtothe Board of Directors, the Board of Auditors, andotherorgans, togetherwithitsannexes, shall be submittedtothelocaladministrativeauthoritybytheChairperson of the Board of Directors.

Thefollowingshall be attachedtothenotification of General Assembly results:

  1. A copy of theminutes of the General Assembly meetingsignedbytheChairperson of thePresidingCommittee, thevicechairpersons, andthesecretary;

  2. IfamendmentshavebeenmadetotheBylaws, a copy of theamendedarticlesshowingboththeformerandthenewversions, togetherwith a copy of the final version of theAssociation’sBylaws, eachpagesignedbythe Board of Directors.

Notification of ImmovableProperty

ImmovablepropertyacquiredbytheAssociationshall be notifiedtothelocaladministrativeauthoritywithinthirty (30) daysfromthedate of registration in thelandregistry, bycompletingthe“Notification of ImmovableProperty” (as set forth in Annex-26 of theRegulation on Associations).

Notification of ReceivingAidfromAbroad

IntheeventthattheAssociationintendstoreceiveaidfromabroad, priortoreceivingsuchaid, the“Notification of ReceivingAidfromAbroad” (as set forth in Annex-4 of theRegulation on Associations) shall be completed in two (2) copiesandsubmittedtothelocaladministrativeauthority.

A copy of theresolution of the Board of Directors authorizingthereceipt of aidfromabroad, as well as anyprotocols, contracts, orsimilardocumentsexecuted in thisregard, and a copy of the bank receipt, statement, orsimilardocumentrelatedtotheaccounttowhichtheaid has beentransferredshall be attachedtothenotification form.

It is mandatorythatcashdonations be receivedthroughbanksandthatthenotificationrequirement be fulfilledpriortotheuse of suchfunds.

Notification RegardingJointProjectsConductedwithPublicInstitutionsandOrganizations

Withrespecttojointprojectscarriedoutwithpublicinstitutionsandorganizationswithinthescope of theAssociation’sfield of activity, a copy of theprotocolandtheprojectshall be attachedtothe“Project Notification” (as set forth in Annex-23 of theRegulation on Associations) andsubmittedtothegovernorate of theprovincewheretheAssociation’sheadquarters is locatedwithinone (1) monthfollowingthedate of theprotocol.

Notification of Changes

Anychange in theAssociation’sregisteredaddressshall be notifiedbycompletingthe“Notification of Change of Address” (as set forth in Annex-24 of theRegulation on Associations).
Changesoccurring in theAssociation’sgoverningbodiesoutside of the General Assembly meetingsshall be notifiedbycompletingthe“Notification of Changes in AssociationOrgans” (as set forth in Annex-25 of theRegulation on Associations), andshall be submittedtothelocaladministrativeauthoritywithinthirty (30) daysfollowingthechange.

AmendmentsmadetotheAssociation’sBylawsshallalso be notifiedtothelocaladministrativeauthoritywithinthirty (30) daysfollowingthe General Assembly meeting at whichtheamendmentwasadopted, as an annextothenotification of General Assembly results.

InternalAudit of theAssociation

Article 17 – Internalaudits of theAssociationmay be conductedbythe General Assembly, the Board of Directors, orthe Board of Auditors, andauditsmayalso be carriedoutbyindependentauditfirms. Thefactthat an audit has beenconductedbythe General Assembly, the Board of Directors, orindependentauditfirmsdoes not eliminatetheobligations of the Board of Auditors.

The Board of Auditorsshallconduct an audit of theAssociation at leastonceperyear. The General Assembly orthe Board of Directors mayconductauditswhendeemednecessaryorhaveauditsconductedbyindependentauditfirms.

BorrowingProcedures of theAssociation

Article 18 – Ifdeemednecessaryfortherealization of theAssociation’sobjectivesandtheconduct of itsactivities, theAssociationmayincurdebtby a decision of the Board of Directors. Suchborrowingmaytakethe form of credit-basedpurchases of goodsandservicesorcashborrowing. However, suchborrowingmay not exceedamountsthatcannot be coveredbytheAssociation’sincomesourcesandmay not be of a naturethatwouldplacetheAssociation in financialdistress.

Amendment of theBylaws

Article 19 – AmendmentstotheBylawsmay be madeby a decision of the General Assembly.

InorderforamendmentstotheBylawsto be made at the General Assembly, a quorum of two-thirds (2/3) of themembersentitledtoattendthe General Assembly shall be required. Ifthemeeting is postponedduetolack of quorum, noquorumshall be requiredforthesecondmeeting. However, thenumber of membersattendingsuchmeetingmay not be lessthantwicethefullnumber of members of the Board of Directors andthe Board of Auditors.

ThedecisionquorumrequiredforamendmentstotheBylawsshall be two-thirds (2/3) of thevotes of themembersattendingthemeetingandentitledtovote. Voting on amendmentstotheBylaws at the General Assembly shall be conductedbyopenvote.

Dissolution of theAssociationandMethod of Liquidation of ItsAssets

Article 20 – The General Assembly maydecidetodissolvetheAssociation at any time.

Inorderfortheissue of dissolutionto be discussed at the General Assembly, a quorum of two-thirds (2/3) of themembersentitledtoattendthe General Assembly shall be required. Ifthemeeting is postponedduetolack of quorum, themeetingshall be postponedaccordingly.

Intheeventthatthequorum is not met, noquorumshall be requiredforthesecondmeeting. However, thenumber of membersattendingthismeetingmay not be lessthantwicethefullnumber of members of the Board of Directors andthe Board of Auditors.

Thedecisionquorumrequiredfortheadoption of a dissolutionresolutionshall be two-thirds (2/3) of thevotes of themembersattendingthemeetingandentitledtovote. Voting on thedissolutiondecision at the General Assembly shall be conductedbyopenvote.

LiquidationProcedures

When a dissolutiondecision is adoptedbythe General Assembly, theliquidation of theAssociation’scash, assets, andrightsshall be carriedoutby a liquidationcommitteecomposed of thelastmembers of the Board of Directors. Theseproceduresshallcommence as of thedate on whichthe General Assembly resolutionregardingdissolution is adoptedorthedate on whichtheautomaticterminationbecomes final.

Duringtheliquidationperiod, thephrase“Kültürlerarası İşbirliği ve Diyalog Derneği (InLiquidation)”shall be used in alltransactionsconducted in the name of theAssociation.

Theliquidationcommittee is authorizedandresponsibleforcompletingtheliquidation of theAssociation’scash, assets, andrightsfrombeginningtoend in accordancewiththerelevantlegislation. ThecommitteeshallfirstexaminetheAssociation’saccounts. Duringthisexamination, theAssociation’sbooks, receipts, expendituredocuments, titledeeds, bank records, andotherdocumentsshall be identified, anditsassetsandliabilitiesshall be recorded in a report.

Duringtheliquidationprocess, theAssociation’screditorsshall be invitedtosubmittheirclaims, andanyexistingassetsshall be convertedintocashandpaidtothecreditors. IftheAssociation has receivables, suchreceivablesshall be collected. Afterthecollection of receivablesandthepayment of debts, allremainingcash, assets, andrightsshall be transferredtotheplacedeterminedbythe General Assembly.

Ifnoplace of transfer has beendeterminedbythe General Assembly, suchassetsshall be transferredtotheassociationlocated in thesameprovincewhosepurpose is mostsimilartothat of thedissolvedAssociationandwhich had thehighestnumber of members as of thedate of dissolution.

Allproceduresrelatedtotheliquidationshall be recorded in a liquidationreport, andtheliquidationproceduresshall be completedwithinthree (3) months, exceptforanyadditionalperiodsgrantedbythelocaladministrativeauthoritiesbased on justifiedreasons.

Uponcompletion of theliquidationand transfer of theAssociation’scash, assets, andrights, theliquidationcommitteeshallnotifythelocaladministrativeauthoritywheretheAssociation’sheadquarters is located in writingwithin seven (7) days, andtheliquidationreportshall be attachedtothisnotification.

TheAssociation’sbooksanddocumentsshall be preservedbythelastmembers of the Board of Directors acting in thecapacity of theliquidationcommittee. Thisdutymayalso be assignedto a singlemember of the Board of Directors. Theretentionperiodforsuchbooksanddocumentsshall be five (5) years.

Lack of Provision

Article 21 – Inmatters not regulatedbythisBylaws, theprovisions of theLaw on Associations, theTurkishCivilCode, theRegulation on Associationsissuedpursuanttotheselaws, andotherrelevantlegislationgoverningassociationsshallapply.

ProvisionalArticle 1

UntiltheAssociation’sgoverningbodiesareformed at thefirst General Assembly, thetemporary Board of Directors authorizedtorepresenttheAssociationandtocarryoutallrelatedtransactionsshallconsist of thefollowingpersons:
